As a part of annual filing, each year companies incorporated under the Companies Act, 2013/1956 are required to file the various documents along with the relevant e-forms with the Registrar of Companies. Every company is required to file the annual accounts and annual return as per The Companies Act, 2013 within 30 days and 60 days respectively from the conclusion of the Annual General Meeting.
After Completion of Financial Year on 31st March every year, every Company / LLP should prepare and finalize their Financial Statements, which includes Balance Sheet, Profit and Loss Account, cash flow statement, schedules and Notes forming parts of Accounts. The finalization of Accounts is the responsibility of the Board of Directors of the Company
Annual Report of every company should contain a report of the Board of Directors as per Sec. 134 of the Companies Act 2013, contain, informations of the Company, Its directors, related party transactions, technology absorbtion, material changes after Balance Sheet date, reply to statutory auditor’s comments, general working conditions, financial aspects etc..
Every company needs to file its financial statements and mandatory attachments, via e-Form AOC4 within the prescribed time limit as per section 137. After the financial statements are adopted the same shall file via e-form AOC-4 within 30 days of the AGM (actual or adjourned whichever is applicable).
As per section 92 of the Companies Act, 2013, every company is required to prepare the Annual Return in Form No. MGT-7 containing the particulars as they stood on the close of the financial year. Annual Return is to be filed with the Registrar within 60 days from the date on which Annual General Meeting (AGM) is actually held or from the last day on which AGM should have been held.
On appointment/ reappointment of an auditor at the annual general meeting, the company shall file a notice of such appointment / reappointment with the Registrar within fifteen days of the meeting in which the auditor is appointed/re-appointed in eform ADT 1
Every Company after filanalizing annual financial statements, should obtain the report of its Statutory Auditor, about the finalized Financial Statements. The auditors’ report shall be attached to every financial statement
